Policies and Procedures
This document is presented for informational purposes to explain some of the provisions of the Registrant Sublicense Agreement . This document is not intended to replace the Registrant Sublicense Agreement. Please make sure that you read and accept the Registrant License Agreement in its entirety prior to leasing a Common Short Code. The full Registrant Sublicense Agreement is available here .

First, a few definitions.
"You" means you: A prospective Common Short Code content provider. "The Registry" or "The Administrator" or "CSCA". The body that oversees the technical and operational aspects of CSC functions and maintains a single database of available, reserved, and registered CSCs.

1. Common Short Code Registration Terms
By applying for and registering a Common Short Code (CSC) with the Registry you enter into a lease agreement for the right to access a CSC. All applications for CSCs are accepted by the Registry on a first-come, first-served basis. At application time, you must specify whether or not you want a specific CSC (also known as a 'Selected CSC'). If you do not want a specific CSC, the Registry will assign you a CSC randomly after payment has been received and your application has been processed and approved. Selected CSCs are also assigned on a first-come, first-served basis from a pool of available CSCs. If you choose to get a Selected CSC, and such CSC is available, the Registry will reserve that CSC for you until payment has been received and your application has been approved. If payment is not received, or your application is not approved, then that CSC will be put back into the pool of available CSCs.

For the duration of your CSC lease, the Registry will not lease that CSC to anyone else or transfer your right to access that CSC to a third party, provided that you act in compliance with the terms of the Registrant Sublicense Agreement.

Once you have chosen whether or not you want a Selected or Random CSC, you must also choose the length of time you want to register your Common Short Code. CSCs are currently available for three (3), six (6), and twelve (12) months and may be renewed for additional three (3), six (6), and twelve (12) month periods.

Even though you are leasing a Common Short Code from the Registry, you still must negotiate activation of your Common Short Code with each of the Wireless Carriers who agree to allow your Common Short Code to be used on their network. This is a separate agreement between you and the carrier for which neither the Registry nor the CSCA has any control. Failure to reach agreement with any Wireless Carrier to carry traffic through a leased CSC is not the responsibility of the Registry or the CSCA, nor will you be able to receive any refund for such failure.

2. Carrier Agreement Policy
REGISTERING A CSC IN NO WAY GUARANTEES YOU THE RIGHT TO SEND OR RECEIVE COMMUNICATIONS USING YOUR CSC OR THE RIGHT TO USE THE CSC IN ANY OTHER MANNER. IN ORDER TO ACTIVATE YOUR CSC, YOU MUST OBTAIN APPROVAL FROM EACH INDIVIDUAL PARTICIPATING CARRIER IN WHICH YOU WOULD LIKE TO TRANSMIT CONTENT. THE TERMS AND CONDITIONS OF ALL SUCH ARRANGEMENTS WITH INDIVIDUAL PARTICIPATING CARRIERS ARE AT THE SOLE DISCRETION OF THAT PARTICIPATING CARRIER AND WILL NOT IN ANY WAY INVOLVE THE REGISTRY OR THE CSCA.

3. Fees
Registering and leasing a CSC costs $1,000 per month for each "Selected CSC" and $500 per month for each "Random CSC." THESE FEES ARE NON-REFUNDABLE REGARDLESS OF WHETHER ANY WIRELESS CARRIER AGREES TO ACTIVATE YOUR CSC. The Registry must receive payment in full for the duration of the registration at the time your application is approved. Registry may take all remedies to collect fees owed. In the event that You dispute any fee, or take any action to initiate a credit card chargeback for any of the fees described above, such action may result in Your sublicense of a CSC being suspended until such time as the dispute is resolved, at which time, depending on the outcome of the dispute, the sublicense of the CSC may be reinstated or cancelled, whichever applicable. In addition to the foregoing fees, You are responsible for all taxes associated with such fees.

Registry reserves the right, in its sole discretion, to refuse to register any Random or Selected CSC. YOU AGREE THAT ANY AND ALL REGISTRATION FEES PAID TO REGISTRY ARE NOT REFUNDABLE. You agree that neither Registry nor CTIA shall be liable for any losses or damages that may result from a refusal to register any CSC.

4. Enforcement
BY REGISTERING A CSC, YOU AGREE TO ABIDE BY THE TERMS OF REGISTRANT SUBLEASE AGREEMENT. YOUR RIGHT TO USE YOUR CSC MAY REVOKED IN THE EVENT THAT YOUR USE OF THE CSC IS DETERMINED TO BE IN VIOLATION OF REGISTRANT SUBLEASE AGREEMENT.

The Registry reserves the right to strictly enforce the Registrant Sublease Agreement by, without limitation, issuing warnings, suspending or terminating Service prior to actively investigating violations and prosecuting them in any court or appropriate venue. INDIRECT OR ATTEMPTED VIOLATIONS OF THIS POLICY OR ANY RELATED POLICY, GUIDELINE OR AGREEMENT, AND ACTUAL OR ATTEMPTED VIOLATIONS BY A THIRD PARTY ON YOUR BEHALF SHALL BE CONSIDERED VIOLATIONS OF THIS POLICY BY YOU. In addition, Registry reserves the right to deny, cancel, transfer or otherwise make unavailable any CSC that it deems necessary, in its sole discretion, (1) to protect the integrity and stability of the Service; (2) to comply with any applicable laws, government rules, policies or requirements, requests of law enforcement, in compliance with any dispute resolution process; (3) to avoid any liability, civil or criminal, on the part of Registry, as well as its affiliates, subsidiaries, officers, directors, representatives, employees, and stockholders; (4) for violations of any agreement between Registry and any third party related to the Service; (5) to correct mistakes made by Registry, in connection with a CSC registration.

Terminating your CSC Lease

By You . You may discontinue Your participation in and access to the Service upon at least thirty (30) days written notice to Registry for any reason or as otherwise provided in this Agreement. You acknowledge and agree that Registry may terminate or block Your use of all or part of the Service without prior notice for any reason, including, without limitation, if Registry believes You have engaged in conduct prohibited by this Agreement. In the event that you choose to discontinue your participation in the Service prior to the end of your then-current lease, you shall not be entitled to a refund for the unused portion of the lease.

By Registry . Registry may terminate this Agreement or any part of the Service or Your CSC at any time (i) in the event you breach any of your obligations, (ii) fail to respond within ten (10) calendar days to an inquiry from Registry concerning the accuracy or completeness of the information You submitted in Your CSC application, (iii) if you have violated any other policy of Registry, (iv) pending a dispute regarding Your registered CSC or to resolve a dispute with a third party regarding Your registered CSC, (v) if Registry receives a court order or arbitration award requiring Registry to delete, transfer or modify a CSC; or (vi) if any Participating Carrier terminates Your use of a CSC for any reason. The Registry, in its sole discretion, will determine whether or not Your conduct is consistent with this Agreement and any operating rules or policies.

Effect of Termination. Unless otherwise specified in writing by Registry, you will not receive any refund for payments already made by you as of the date of termination . If termination of this Agreement is due to your default, you shall bear all costs of such termination, including any reasonable costs Registry incurs in closing your account. You agree to pay any and all costs incurred by Registry in enforcing your compliance with this Section. You agree that upon termination or discontinuance for any reason, Registry may delete all information related to you on the Service, if applicable.

5. Privacy
We will be collecting data from you in order to process your Common Short Code application, which includes but is not limited to:

* your name and contact information;
* your preferred billing method and details;
* the languages supported by your CSC program;
* the kind of CSC program you are planning on developing (iTV/iRadio/Ringtones/Graphics/Consumer packaging/Promotions/Chat);
* when you are planning on implementing your CSC program;
* where in the United States you are planning on implementing your CSC program;
* the anticipated CSC program duration;
* the anticipated method for promoting your CSC program (for example on radio or TV, in print or on the Internet) and the dates of these promotions;
* the transport method of your CSC program (for example via SMS, MMS, WAP/WAP2.0 or some other transport mechanism)

The Registry will share all the information you provide on your application EXCEPT BILLING DATA to our partners (see below). THE REGISTRY WILL NEVER SHARE YOUR BILLING DATA WITH ANY THIRD PARTY FOR ANY REASON, EXCEPT AS MAY BE REQUIRED TO COMPLY WITH ANY LAWS, STATUTES OR JUDICIAL PROCEEDINGS.

As the purpose of filling out an application for a CSC is to educate the wireless carriers, about your proposed Common Short Code Program, we will be sharing your data with (including but not limited to) the wireless carriers and our infrastructure partners such as connectivity aggregators or application providers.

We will be sharing your data with wireless carriers in order to help them implement your CSC for use on their network. We will provide your data to connectivity aggregators or application providers in order so they can assist the wireless carriers in implementing your CSC program successfully.

7. Opt-in/Opt-out Policy for Carriers, Content Providers, Application Providers
As a registrant of a common short code, you must also ensure that your common short code partners have and abide by an Opt-in/Opt-out Policy. This policy must

* State that there must be a mechanism for end users to Opt-in, or assent to participating in your CSC program. All services and applications offered through a CSC must be on an opt-in basis.
* State that, once having agreed to participate in a common short code program, end users must be provided the opportunity to easily request that their participation in an application or service offered through a Common Short Code end at their discretion.
* Provide mechanisms for enforcement by you of the Opt-in and Opt-out provisions.

The Registry reserves the right to deny, limit, or terminate the lease of any CSC whose registrant does not have an Opt-in/Opt-out policy or does not enforce this policy.
